DALLAS--(BUSINESS WIRE)-- Kendall Law Group, led by former federal judge Joe Kendall, is investigating Ceradyne Inc. (NAS: CRDN) for shareholders in connection with the proposed acquisition by 3M. The national securities firm's investigation seeks to determine whether Ceradyne and its Board of Directors breached their fiduciary duties by entering into the agreement without properly shopping for a deal that would provide better value for shareholders. On October 1, 2012, the companies announced the definitive merger agreement under which Ceradyne would be acquired by 3M, in a transaction valued at approximately $860 million. Under the terms of the agreement, Ceradyne stockholders will receive $35 in cash for each share of Ceradyne/CRDN common stock held. The firm's investigation seeks to determine whether Ceradyne and its Board of Directors undertook a fair process in negotiating the deal.
