First Potomac Realty Trust Announces Pricing of Upsized Public Offering of 6.5 Million Common Shares

BETHESDA, Md.--(BUSINESS WIRE)-- First Potomac Realty Trust (the "Company") (NYS: FPO) today announced that it had priced an underwritten public offering of 6,500,000 common shares of beneficial interest at a public offering price of $14.70 per share, for net proceeds of approximately $91.1 million, after deducting the underwriting discount and estimated offering costs. The offering was upsized from an original amount of 6,000,000 shares to the final offering size of 6,500,000 shares. The Company also granted the underwriters a 30-day option to purchase up to an additional 975,000 common shares at the public offering price, less the underwriting discount. The offering is expected to close on or about May 24, 2013, subject to customary closing conditions.


The Company intends to use the net proceeds of the offering to repay outstanding indebtedness consistent with its strategic and capital plan, including the amounts outstanding under its secured term loans and a portion of the amounts outstanding under its unsecured revolving credit facility, and for general corporate purposes.

KeyBanc Capital Markets and Wells Fargo Securities are the joint book-running managers for the offering. BMO Capital Markets, Morgan Stanley, PNC Capital Markets LLC, Raymond James and RBC Capital Markets are the co-lead managers for the offering. Capital One Southcoast, Piper Jaffray and SunTrust Robinson Humphrey are the co-managers for the offering.
